Letter of Intent

A Letter of Intent is a non-binding instrument expressing the intention of two parties to engage in a particular activity, of which, is outlined in the LoI that the two parties intend to include in a subsequent formal agreement. LoIs usually set the tone for negotiations and can influence the dynamics of a relationship between parties. Requesting Offices should seek legal advice and guidance when drafting LoIs if the standard LoI template is not followed as the inclusions of certain provisions within it may be legally enforceable
